STANDARD TERMS AND CONDITIONS FOR IMD SPRINT PROGRAMS

Welcome to IMD -International Institute for Management Development. We are a foundation duly organized and validly existing under the laws of Switzerland with its registered office at chemin de Bellerive 23, 1007 Lausanne, Switzerland (“IMD”).

Our programs reflect and encourage the norms of sound business practices.

To meet both the professional and academic objectives, the IMD general Terms and Conditions (the “Terms”) are set out below and govern the relationship between IMD and you, the applicant (the “Parties”) in relation to the programs IMD offers as set out on the IMD website https://wwwtest.imd.org/sprint (the “Sprint Programs”). Acceptance of these Terms by you is a prerequisite for acceptance to a Sprint Program offered by IMD. Any deviations from these Terms must be agreed between the Parties in writing.

Please note that these Terms apply specifically to Sprint Programs and not other topics that may be relevant to your relationship with IMD.

Additional terms may apply to each Sprint Program, based on information-sheets and other documents communicated to you before, during and/or after completion of the Sprint Program. In case of discrepancy between these Terms and the additional terms, these Terms shall prevail. 

These Terms may not be modified, superseded or otherwise replaced, fully or in part, by other terms, conditions, contractual clauses or sets of rules that would be communicated to IMD, unless they are accepted and signed in writing by duly authorised representatives of IMD. In particular, any communication to IMD of such other terms, conditions, contractual clauses or other sets of rules (regardless of the way it is communicated to IMD) shall not be held as a valid modification of these Terms and IMD will not be required to respond to such communication.

1. INFORMATION ON AND REGISTRATION TO SPRINT PROGRAMS
General

IMD is committed to providing equal opportunity in its program administration. All Sprint Programs are open to all persons regardless of race, origin, religion, gender, handicap or disability, familial status, subject only to those exceptions allowable by law.

Registration Content

It is your responsibility to ensure that all the information, provided in the context of your registration to a Sprint Program, is true, accurate, complete and in no-way misleading or deceptive.

IMD remains free to request, at any time, any additional document, information or element of proof in relation to your application.

Should one or more elements of information transpire to be wrong, inaccurate or otherwise misleading or deceptive, IMD may cancel enrolment, exclude participation in the Sprint Program and withdraw any award or certification. In such a case, no reimbursement of any Fees (as detailed under para. 8 of these Terms) shall be made. IMD reserves the right to claim compensation for any prejudice suffered.

Profile

In order to access a Sprint Program, you will be required to update your profile with additional information or create such a profile should you not yet have one.

Changes to a Sprint Program

All the Sprint Programs are flexible, and development focused. Therefore, IMD shall at all times have the right to make changes to any of its Sprint Programs, including after your purchase. Such changes may affect any aspect of a Sprint Program, including general content, course descriptions and content, design, speakers and professors.

Cancellation of a Sprint Program

Should you decide to cancel your registration to any Sprint Program, please address an email to [email protected]. IMD will refund the amount paid only if the cancellation is received no later than two (2) weeks before the Sprint Program starting date. Time of receipt of your email is during working time at IMD.

Should you not complete a Sprint Program, any Sprint Program fee may not be reimbursed to you.

IT IS EXPRESSLY SPECIFIED AND UNDERLINED THAT THERE SHALL BE NO FURTHER RESPONSIBILITY FOR IMD FOLLOWING SUCH NON-COMPLETION OF A SPRINT PROGRAM.

2. PARTICIPATION IN A SPRINT PROGRAM AND GENERAL CONDUCT

IMD expects participants to conduct themselves professionally at all times.

Participants are required to act professionally, when representing IMD, or otherwise impacting IMD’s reputation.

Failure to comply with the principles outlined below, or in any way deemed relevant to IMD, shall be qualified as unprofessional behaviour and may result in sanctions, including exclusion from a Sprint Program.

IMD does not endorse the opinions and views expressed by the candidates and organizations admitted to its Sprint Programs.

2.1 PROFESSIONAL INTEGRITY

Participants are expected to behave with integrity and to abide by all applicable rules of IMD. IMD neither allows nor tolerates any form of discrimination, harassment or retaliation Certain behaviours are deemed unacceptable including the following:

  • Sexual or psychological harassment (including bullying and mobbing) and unjustified retaliation, in any form whatsoever.
  • Behaviour that is offensive, disrespectful, demeaning or oppressive and undermines the positive environment necessary for learnings.
  • Abusive, defamatory or hurtful statements, including but not limited to ethnic, racial, religious or gender-attacking language, are not tolerated in the Sprint Programs and may lead to a participant’s exclusion from the Sprint Program.
  • Failing to cite sources or using the work of others as one’s own work.
    Deceiving or misrepresenting oneself in an injurious way to peers, faculty, any IMD team member or any third parties.
  • Receiving external support for assignments (team or individual) other than editing/proof-reading for language syntax.
  • Disrespect of program deadlines and attendance requirements.

This list is not exhaustive. Participants on a Sprint Program are always expected to display appropriate standards of ethics, integrity and professionalism in their actions and relationships.

Your participation on a Sprint Program is personal to you and you may not share or transfer your rights to access to any Sprint Program to which you are enrolled or provide access to the Sprint Program to any third party.

IMD reserves the right to monitor location based information (including but not limited to IP addresses) that is used to access a Sprint Program (including any materials provided) if you are found to be in contravention of the access rule set out above IMD may terminate your access to the Sprint Program. In such circumstances no refunds will be given.

2.2 IMD’S REPUTATION

IMD’s institutional reputation is an endowment from which all participants benefit. Consequently, it must be protected and reinforced. All participants to any Sprint Program are expected to abide by the laws of Switzerland or any country where the Sprint Program takes place. In addition, engaging in any action or displaying any attitude that may affect the reputation of IMD negatively shall be considered unprofessional and may result in sanctions including exclusion from a Sprint Program.

3. PROCESSING OF PERSONAL DATA AND CONFIDENTIAL INFORMATION
3.1 PROCESSING OF PERSONAL DATA

In the context of the Sprint Programs, IMD needs to process personal data relating to you. Such processing is done at all stages linked to the Sprint Programs, i.e. downloading of information, enrolment.

All processing activities of personal data by IMD is subject to and framed by IMD’s Privacy Notice. This Privacy Notice is available on IMD’s website (https://wwwtest.imd.org/settings/privacy/ ).

In order to facilitate the smooth running of a Sprint Program within the Sprint Program portal, the following data is shared between the participants, the IMD team and any third party having authorised access to such portal:

  • Contact information (first and last name, email address);
  • Current job title and company;
  • Profile photo; and
  • Biographical details.

IMD is not responsible for the processing of personal data by other participants of Sprint Programs, including when such processing is done in the context of a Sprint Program, on IMD’s premises and/or otherwise during an event or activity organized by, or linked to, IMD. It is every participant’s responsibility to ensure that the processing of personal data respects all applicable laws, especially the Swiss Federal Data Protection Act.

3.2 CONFIDENTIAL INFORMATION

You must respect the confidentiality of all confidential information that you acquire during the course of participating in a Sprint Program, and comply with all applicable laws of the territory where the Sprint Program is delivered.

3.3 TECHNICAL SUPPORT AND ACCESS

Where IMD has direct control over the system, software or setting involved, if you are unable to access a Sprint Program that is delivered virtually, IMD will use reasonable endeavours to provide a solution. If the issue lies with your hardware, systems, software, WiFi, network or settings, IMD may, solely at its own discretion, provide assistance to help you to resolve the issue. Please note any failure by you to connect to a virtually delivered Sprint Program shall not give rise to any refund of a Program Fee.

You accept and acknowledge that periods of downtime may be required in respect of the information technology infrastructure connected to the Sprint Program and that technical assistance may not be available during such periods of downtime. Further you accept that you will not have a claim for breach of contract or otherwise in respect of such period of unavailability.

IMD will use reasonable endeavours to make a virtually delivered Sprint Program available but cannot guarantee uninterrupted, timely or error free availability or that defects will be corrected. IMD reserves the right to suspend access to a virtually delivered Sprint Program for the purpose of scheduled or emergency maintenance, repairs or upgrades to improve the performance or functionality of the related website.

You also accept and acknowledge that IMD cannot be held responsible for any delay or disruptions to your access to a virtually delivered Sprint Program as a result of such suspension or any of the following:

(a) the operation of the internet and the world wide web, including but not limited to viruses;

(b) any firewall restrictions that have been placed on your network or the computer you are using to access the Sprint Program;

(c) failures of telecommunications links and equipment; or

(d) updated browser issues.

IMD does not make any commitment to you that a virtually delivered Sprint Program will be compatible with or operate with your software or hardware.

4. INTELLECTUAL PROPERTY
a) Use if IMD copyright, IP rights and other works

All copyrights, IP rights and other works that belong to IMD and/or are licensed or belong otherwise to IMD (whether or not protected by IP rights and/or registered) shall remain the property of IMD. Nothing in relation to the Sprint Program shall be considered as a transfer, license or other type of communication of any copyrights, IP rights or other works that belong to IMD and/or are licensed or belong otherwise to IMD.

As a participant to a Sprint Program, you may only use copyrights, IP rights and other works covered by the first paragraph of this clause in the context of such Sprint Program. Any other use is expressly forbidden.

b) Work done by participants in the context of a Sprint Program

Any work done by participants in the context of a Sprint Program (i.e. written deliverables, reports, assignments, etc.) belongs to IMD.

You may use any work done in the context of a Sprint Program for professional purposes. No publishing, editing or any other transfer is possible without IMD’s prior written agreement.

5. FEES, COSTS AND EXPENSES

The fee for the Sprint Program for which you are registering must be entirely paid before the start date of said Sprint Program.

Unless expressly stated otherwise, the fees are exclusive of any value-added or other indirect taxes that may be due in any country.

The payment of all fees must be done using the payment process within this Sprint Program portal. Any costs or expenses linked to such payment shall be borne exclusively by you.

Overall, fees have to be considered as a fixed and agreed compensation regarding the costs and expenses borne by IMD, in particular for the processing and evaluation of the entire application as well as for the possibility to enable you to take part in the Sprint Program.

Failing the payment of fees IMD retains the right to block access to the program platform and/or dismiss a participant from the Sprint Program.

Any costs and expenses that are incurred in the context of a Sprint Program are borne exclusively by you. This includes, without limitation, any costs or expenses for events, meetings or conferences organized in the context of a Sprint Program or of IMD in general. This also includes any costs or expenses to apply to a Sprint Program.

6. GOVERNING LAW

These Terms, as well as any and all matters arising out or in relation to them (including non-contractual disputes or claims and their interpretation) shall be governed by the laws of Switzerland, to the exclusion of the rules on conflicts of laws.

Any claim or dispute regarding the Terms or in relation to them shall (including for non-contractual disputes or claims and their interpretation) be subject to the exclusive jurisdiction of the Courts of Lausanne, Switzerland, subject to an appeal at the Swiss Federal Court.

7. MISCELLANEOUS

It is the sole responsibility of a Sprint Program participant to ensure that all required conditions to attend the Sprint Program are met.

IMD complies at all times with Swiss and applicable foreign laws, including anti-money laundering, corruption and sanctions laws and regulations. By accepting these terms and conditions you represent and warrant that the payment of any Program fees to IMD is not directly or indirectly derived from any enterprise or activities that contravene Swiss or applicable foreign laws, including anti-money laundering, corruption and sanctions laws and regulations. Your also agree and undertake to provide any information or documents deemed necessary by IMD to comply with any of its Know-Your-Customer or management risks guidelines or program, and related responsibilities from time to time.

IMD will never make or offer any payments to or confer or offer any benefit upon any third party, including any person/ firm employed by or on behalf of any government official/ employee, political party, employee of any political party, or political candidate with the intent to influence the conduct such third party in any manner.

IMD cannot accept responsibility and expressly excludes liability for any loss or damage to participant’s property that occurs whilst the participant is on the Sprint Program. The participant should take particular care not to leave personal belongings unattended at any time.

Severability. If any provision of these Terms is held to be unenforceable for any reason, it shall be replaced rather than voided, if possible, in order to achieve the intent of the Parties to the fullest extent possible. In any event, all other provisions of these Terms shall remain valid and enforceable to the fullest extent possible.

By accepting these Terms, you acknowledge that you have read them and that you agree to be bound by them.
